Article VIII. Professional Staff

1. President and Chief Executive Officer The Board shall appoint a President and Chief Executive Officer of the Association. The President and Chief Executive Officer shall be selected by the Board to serve at the pleasure of the Board of Directors and shall serve as an ex-officio non-voting member of the Board of Directors and all standing or special committees and subcommittees of the Board. The President and Chief Executive Officer shall exercise executive management control over the affairs of the Association and shall perform such duties as assigned to him or her by the Board of Directors from time to time.
2. Chief Operating Officer The President and Chief Executive Officer may appoint a Chief Operating Officer to have such duties as prescribed by the President and Chief Executive Officer.
3. Indemnification of Directors, Officers and Employees Every Director, officer, committee member or employee of the Association shall be indemnified by the Association to the fullest extent permitted by law. The foregoing right of indemnification shall be in addition to and not exclusive of all other rights to which such director, officer, committee member or employee may be entitled.
4. Surety Bonds The Directors, President and Chief Executive Officer, Secretary, Treasurer and any other officer or employee handling or having access to the funds or securities of this Association shall be bonded at the expense of the Association, in such amount, and with such sureties, as the Board of Directors may from time to time prescribe.
